These Terms of Service ("Terms") govern the use of our consulting services, professional development sessions, coaching programs, digital resources, and any related services provided by the Company.

By engaging with our services, participating in our programs, or accessing our materials, you agree to comply with and be bound by these Terms.

2. Services Provided

Usry-Wilson Educational and Leadership Consulting, LLC provides services that may include, but are not limited to:

  • Workshops, seminars, and training sessions

  • Digital resources, guides, and leadership tools

Specific services, timelines, and deliverables will be outlined in a separate written agreement or proposal when applicable.

3. Client Responsibilities

Clients agree to:

  • Provide accurate information necessary for consulting services

  • Participate in scheduled meetings, coaching sessions, or professional development as agreed

  • Communicate respectfully and professionally

  • Implement strategies and recommendations at their own discretion

The Company does not guarantee specific outcomes, as results depend on implementation, organizational context, and external factors.

4. Payments and Fees

All fees for services will be outlined in an invoice, contract, or proposal prior to the start of services.

Payment terms may include:

  • Deposits required to secure consulting engagements

  • Full payment prior to workshops or training sessions unless otherwise agreed

  • Payment due within the time frame listed on invoices

Failure to make payment may result in suspension or termination of services.

5. Cancellations and Rescheduling

Clients must provide at least 48 hours notice to cancel or reschedule coaching sessions, workshops, or consulting meetings.

  • Cancellations with less than 48 hours notice may be subject to a cancellation fee.

  • The Company reserves the right to reschedule services due to emergencies or unforeseen circumstances.

6. Intellectual Property

All materials provided by Usry-Wilson Educational and Leadership Consulting, LLC including but not limited to:

  • Training materials

  • Frameworks and leadership models

  • Presentations

  • Workbooks

  • Digital guides

remain the intellectual property of the Company.

Clients may not reproduce, distribute, sell, or share these materials without written permission.

Materials may be used internally within the client's organization for professional learning purposes unless otherwise restricted.

7. Confidentiality

The Company respects the confidentiality of all client information.

Any information shared during coaching, consulting, or professional development will be treated as confidential unless:

  • Disclosure is required by law

  • The client provides written permission

Clients also agree not to share proprietary frameworks, strategies, or internal consulting processes publicly without permission.

8. Professional Boundaries

Consulting and coaching services are designed for professional growth, leadership development, and organizational improvement. These services are not therapy, counseling, or legal advice.

9. Limitation of Liability

To the fullest extent permitted by law, Usry-Wilson Educational and Leadership Consulting, LLC shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services.

Clients assume responsibility for decisions made as a result of consulting recommendations.

10. Termination of Services

The Company reserves the right to terminate services if:

  • Payment obligations are not met

  • Professional boundaries are violated

  • There is misuse of intellectual property

Clients may also terminate services according to the terms outlined in their specific service agreement.

11. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the State of Georgia.

12. Changes to Terms

Usry-Wilson Educational and Leadership Consulting, LLC reserves the right to update these Terms at any time. Updated versions will be provided when changes occur.
